4. Service Availability and Modifications

We strive to provide reliable services, but we cannot guarantee uninterrupted availability. We reserve the right to:

• Refuse service to anyone for any reason at any time
• Set usage limits and storage restrictions

5. Payment Terms

For paid services:

• Payment is due according to the agreed payment schedule
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing with 30 days' notice
• Late payments may result in service suspension
• You are responsible for all taxes associated with your use of our services

6. Intellectual Property Rights

All content, features, and functionality of our services are owned by NAT and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Reverse engineer our software or systems
• Use our trademarks without written permission
• Create derivative works based on our services

7. Privacy and Data Protection

8. Limitation of Liability

To the maximum extent permitted by law, NAT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities

• Damages resulting from third-party actions
• Any damages exceeding the amount paid for our services in the preceding 12 months

9. Indemnification

You agree to defend, indemnify, and hold harmless NAT and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your violation of these Terms
• Your violation of any third party's rights
• Any content you submit or transmit through our services

10. Service Level Agreement (SLA)

For enterprise clients, specific service level agreements may apply. These SLAs will be provided separately and may include:

• Uptime guarantees
• Response time commitments
• Performance metrics
• Remedies for service failures

11. Termination

Either party may terminate the service relationship:

• With written notice as specified in your service agreement
• Immediately for breach of these Terms
• Upon non-payment of fees

Upon termination, you must cease all use of our services and we may delete your data according to our data retention policies.

12. Force Majeure

NAT shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar events beyond our reasonable control.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Uganda. Any disputes arising from these Terms or your use of our services shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations fail
• Arbitration or the courts of Uganda as a last resort

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and NAT regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
